1 Site purpose

The Site provides general information about Exasig, intellectual-property management, and related topics. Site content is not legal, tax, engineering, security, or investment advice. Exasig may change or discontinue any part of the Site at any time.

2 Intellectual property

Exasig and its licensors own the Site, including its software, text, graphics, logos, and compilation, except for material clearly identified as belonging to another party. Subject to these Terms, Exasig grants you a limited, revocable, nonexclusive right to access and use public Site pages for your internal informational purposes. No other license is granted by implication, estoppel, or otherwise.

3 Automated access and public content

Exasig intends its public articles to be discoverable, retrievable, summarized, and cited by conventional search engines and user-directed AI agents, provided the access respects Exasig’s robots.txt instructions, technical rate limits, copyright notices, and these Terms. This permission does not authorize a person to reproduce substantially all of the Site, create a substitute publication, defeat access controls, impose an unreasonable load, or compile Site content into a dataset for training, fine-tuning, distilling, or improving a machine-learning model without Exasig’s prior written permission. Retrieval and citation permission does not apply to downloadable software, nonpublic documentation, or gated technical material.

4 Prohibited conduct

• Use the Site unlawfully or to harm, threaten, deceive, impersonate, or infringe another person.
• Probe, scan, test, circumvent, or interfere with security, authentication, rate limits, or access controls without written authorization.
• Introduce malware or use the Site to distribute unsolicited messages.
• Copy, frame, mirror, or republish substantial portions of the Site except as expressly permitted by these Terms or applicable law.
• Misrepresent Exasig’s content, remove ownership notices, or imply that Exasig endorses a third party.

5 Forms and submissions

You must provide accurate information through Site forms. Do not submit source code, chip-design files, credentials, regulated personal information, export-controlled data, or another party’s confidential information unless Exasig has expressly authorized a secure method and you have the right to disclose it. Exasig handles personal information as described in its Privacy Policy.

6 Evaluation software

Any software, binary, documentation, model, sample, or other material made available through a gated download is governed by the Exasig Evaluation Software License Agreement presented at download, not by the general permission in Section 3. If there is a conflict, the Evaluation Software License Agreement controls for the downloaded material.

7 Third-party services and links

The Site may link to or use third-party services. Independent third-party websites and services have their own terms and privacy practices, which Exasig does not control. Exasig’s use of service providers to process personal information on its behalf remains subject to its Privacy Policy and applicable legal obligations.

8 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXASIG DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. EXASIG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE.

9 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXASIG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE. EXASIG’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF EXASIG WAS ADVISED OF THE POSSIBILITY OF THE LOSS. THEY DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

10 User indemnity

You will defend, indemnify, and hold harmless Exasig and its affiliates, officers, directors, employees, and agents from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your material breach of these Terms, or content you submit that infringes or violates another person’s rights. This obligation does not apply to the extent a claim results from Exasig’s gross negligence, willful misconduct, or material breach of these Terms. Exasig will provide reasonably prompt notice and reasonable cooperation. You may control the defense with counsel reasonably acceptable to Exasig, but you may not settle a claim in a manner that admits fault by, imposes an obligation on, or fails to release Exasig without Exasig’s prior written consent.

11 Governing law and venue

California law governs these Terms, without regard to conflict-of-law rules. Any dispute that is not subject to a separate written agreement must be brought exclusively in the state or federal courts located in the California county where Exasig maintains its principal office, and each party consents to those courts’ personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12 Changes and general terms

Exasig may update these Terms by posting a revised version with a new effective date. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Exasig’s failure to enforce a provision is not a waiver. These Terms and any terms expressly incorporated into them are the entire agreement about the Site.
